1. Overview

These Terms of Service (“Terms”) govern your access to and use of Moogul’s mobile apps, websites, account connection flows, budgeting tools, goal-planning tools, document and import features, AI chat and assistant features, support channels, and related services (collectively, the “Services”).

“Moogul,” “we,” “us,” and “our” mean MOOGUL INC. “You” and “your” mean the person who accesses or uses the Services.

Moogul is a goal-based budgeting app for people whose financial lives may include multiple accounts, currencies, income sources, expenses, documents, financial institutions, countries, and goals. Moogul helps you organize information, plan goals, understand spending, and view financial data you choose to provide or connect.

Moogul is not a bank. Moogul does not hold deposits, custody assets, issue credit, move money, guarantee financial outcomes, or provide professional financial, investment, legal, tax, accounting, immigration, insurance, credit-repair, or estate-planning advice.

2. Agreement To These Terms

By creating an account, clicking to accept these Terms, accessing the Services, connecting a financial account, uploading information, or otherwise using the Services, you agree to these Terms and to Moogul’s Privacy Policy.

If you do not agree to these Terms, do not access or use the Services.

These Terms include an agreement to resolve most disputes through individual arbitration, a class-action waiver, and a jury-trial waiver. Section 28 explains your arbitration opt-out right.

3. Changes To These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email, in-app notice, or posting an updated version on our website or in the Services.

The updated Terms will become effective when posted or on the later date stated in the notice. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.

Changes to the dispute-resolution section will not apply to disputes for which the parties had actual notice before the updated terms were posted, unless applicable law allows otherwise.

4. Availability

Moogul’s first public launch is focused on the United States.

Moogul may be accessible outside the United States, including through manual budgeting features, but non-US jurisdictions are not specifically supported at launch. You are responsible for making sure your use of Moogul is lawful where you live and where you use the Services.

We may restrict or discontinue access to the Services in any jurisdiction at any time.

5. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services.

You may not use the Services if:

  • You are prohibited from using the Services under applicable law.
  • We previously suspended or terminated your account for violation of these Terms.
  • You are using the Services on behalf of another person without authorization.
  • You are subject to sanctions, export restrictions, or other restrictions that prohibit your use of the Services.

6. Accounts And Security

You may need to create an account to use the Services. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality and security of your login credentials, devices, authentication methods, and account. You are responsible for activity that occurs under your account, whether or not you authorized it, unless applicable law provides otherwise.

You must notify us promptly at [email protected] if you believe your account, credentials, device, or authentication method has been compromised.

We may suspend, limit, or terminate your account if we believe your account is insecure, your information is inaccurate, your use creates risk, or you have violated these Terms.

7. Personal And Household Use

The Services are designed for personal and household financial organization. You may not use the Services for commercial resale, outsourced bookkeeping, professional advisory services, competitive analysis, model training, or any business purpose unless Moogul has expressly approved that use in writing or offers a plan that permits it.

You may only provide information that you have the right to provide. If you connect or enter information for a spouse, partner, household member, dependent, business, trust, or other person or entity, you represent that you have all necessary rights, consents, and authority to do so.

8. Financial Account Connections

Moogul may allow you to connect bank accounts, cards, financial accounts, or other data sources through Plaid or other third-party providers.

When you choose to connect an account, you authorize and direct Moogul, Plaid, and any other applicable provider to access, retrieve, process, store, and transmit information from the financial institutions or data sources you select, solely as needed to provide and support the Services.

For the limited purpose of retrieving, receiving, and presenting your account information through the Services, you appoint Moogul as your limited agent and attorney-in-fact, with the authority to access third-party sites, servers, systems, accounts, records, and documents on your behalf, and to use information you provide or authorize to perform the actions needed to provide the Services.

Moogul is acting as your agent for this limited purpose only. Moogul is not acting on behalf of your bank, card issuer, financial institution, data provider, or any other third party.

Account connections are subject to the terms and privacy policies of the applicable third-party providers and financial institutions. If you connect an account through Plaid, Plaid’s end-user terms and privacy policy may apply.

You understand that third-party account data may be unavailable, delayed, inaccurate, incomplete, duplicated, stale, or interrupted. Moogul is not responsible for the accuracy, availability, timing, or completeness of information received from financial institutions, Plaid, or other providers.

You may disconnect an account connection through the Services if the feature is available. Disconnecting stops future updates from that connection but does not automatically delete information already received, generated, stored, backed up, or retained as described in the Privacy Policy.

9. Manual Information, Imports, And Documents

You may be able to manually add accounts, assets, debts, balances, income sources, expenses, goals, notes, documents, imports, and other information.

You are responsible for the accuracy, completeness, legality, and usefulness of information you provide. Moogul may process, classify, extract, transform, infer, summarize, or display information you provide, but Moogul does not guarantee that these processes will be accurate or complete.

Do not upload or submit information that you do not have the right to use, information that violates law, malware, harmful code, or information that belongs to another person unless you have permission and authority to provide it.

Unless a specific Moogul feature requests it, do not submit full payment card numbers, bank login credentials, one-time passcodes, government identification numbers, medical records, or other highly sensitive information that is not needed to use the Services.

10. Goals, Budgets, Forecasts, And Calculations

Moogul may provide budgets, goal buckets, cash-flow forecasts, simulations, classifications, expense ownership inferences, currency views, reminders, alerts, and other planning tools.

These tools are informational and organizational only. They may rely on data from you, third-party providers, financial institutions, algorithms, AI systems, exchange-rate sources, manual entries, and assumptions. They may be wrong, delayed, incomplete, or unsuitable for your situation.

You are responsible for reviewing information in Moogul before making financial decisions. You should consult qualified professionals for financial, tax, accounting, legal, investment, immigration, insurance, credit, or other professional advice.

Moogul does not guarantee that you will reach any goal, avoid overdrafts, avoid fees, save money, reduce debt, improve credit, satisfy tax obligations, or make optimal financial decisions.

11. AI Features

Moogul may offer AI chat, assistant, classification, extraction, summarization, recommendation, or automation features.

AI features may produce inaccurate, incomplete, outdated, biased, inconsistent, or unsuitable outputs. You are responsible for independently reviewing AI outputs before relying on them or taking action.

AI outputs are not professional advice and are not a substitute for advice from qualified financial, legal, tax, accounting, investment, immigration, insurance, or other professionals.

You must not use AI features to:

  • Make decisions that you are legally required to make through a licensed professional.
  • Generate or submit fraudulent, deceptive, harmful, unlawful, or misleading content.
  • Violate another person’s privacy, intellectual property, or contractual rights.
  • Upload credentials, one-time passcodes, full payment card numbers, government IDs, or other unnecessary highly sensitive information.
  • Build, train, evaluate, benchmark, or improve a competing product or AI model.

Moogul may use your prompts, inputs, outputs, feedback, and related interaction data to provide, secure, troubleshoot, maintain, and improve the Services, subject to the Privacy Policy and any settings we make available.

12. Alerts, Notifications, And Communications

Moogul may send account, security, service, billing, legal, support, marketing, sync, goal, budget, or reminder communications by email, push notification, in-app message, text message, or other electronic means.

Some alerts or notifications may include sensitive financial information, such as balances, goals, account names, due dates, spending summaries, or sync status. Anyone with access to your device, email, or notification previews may be able to see that information.

Alerts and notifications may be delayed, unavailable, inaccurate, misdirected, or not delivered. You should not rely on alerts or notifications as the sole source for time-sensitive financial decisions.

You may be able to manage some communication preferences in the Services or by using unsubscribe tools. We may still send transactional, security, legal, billing, and service communications where permitted by law.

13. Subscriptions, Fees, And Billing

Some Services may be free. Some Services may require payment, a subscription, an in-app purchase, or another paid plan.

Before you complete a purchase, we or the applicable app store or payment processor will present the price, billing period, renewal terms, taxes, trial terms, and other purchase details then available.

If you purchase a subscription, you authorize Moogul, the app store, or the payment processor to charge your selected payment method for recurring subscription fees, taxes, and any other disclosed charges until you cancel or the subscription is otherwise terminated.

Subscriptions renew automatically unless cancelled before the renewal deadline shown in the Services, checkout flow, app store, or payment provider terms.

If payment fails, we may suspend, limit, or terminate access to paid features. You remain responsible for amounts due before cancellation or termination.

14. Free Trials And Promotions

Moogul may offer free trials, promotional rates, discounts, credits, referrals, beta access, or early-access offers.

Promotions may be limited by eligibility, location, account history, redemption channel, time, plan, or other conditions. We may modify, suspend, or end promotions at any time unless applicable law requires otherwise.

If a free trial converts into a paid subscription, you will be charged unless you cancel before the trial ends in the manner described in the offer, checkout flow, app store, or payment provider terms.

15. Cancellation And Refunds

You may cancel a subscription through the place where you purchased it, such as Moogul account settings, Apple App Store, Google Play, or another payment provider.

Cancellation stops future renewal charges but does not automatically refund prior charges unless required by law, stated in the applicable offer, or approved by Moogul or the applicable app store or payment provider.

If you purchased through Apple, Google, or another third party, that third party may control cancellation and refund decisions. Moogul may not be able to cancel, refund, or manage those subscriptions directly.

After cancellation, you may continue to have access to paid features until the end of the current paid period, unless we provide a refund, terminate your account, or the subscription terms state otherwise.

16. Taxes

Prices may exclude taxes unless stated otherwise. You are responsible for applicable taxes, duties, and governmental charges associated with your purchase or use of the Services.

We may calculate, collect, report, and remit taxes where required or appropriate.

17. Ownership Of The Services

Moogul and its licensors own the Services, including software, designs, interfaces, text, graphics, workflows, algorithms, models, systems, content, trademarks, logos, product names, and all related intellectual property rights.

Subject to your compliance with these Terms, Moogul grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal and household use.

No rights are granted except as expressly stated in these Terms. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, scrape, or create derivative works from the Services except where applicable law prohibits that restriction.

18. Your Content And License To Moogul

“Your Content” means information, data, text, documents, files, messages, prompts, feedback, imports, goals, budgets, notes, labels, categories, settings, and other materials you submit, upload, enter, import, or authorize Moogul to receive through the Services.

You retain ownership of Your Content, subject to the rights you grant in these Terms.

You grant Moogul a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, display, adapt, analyze, classify, extract, summarize, transform, and otherwise use Your Content as needed to:

  • Provide, maintain, secure, and support the Services.
  • Connect accounts and process financial data.
  • Display information to you and any people you authorize.
  • Operate AI, classification, document, and import features.
  • Troubleshoot, debug, test, and improve the Services.
  • Enforce these Terms and comply with law.

You represent that you have all rights, consents, and authority needed to provide Your Content and grant this license.

19. Feedback

If you send Moogul suggestions, ideas, requests, comments, or other feedback, you grant Moogul the right to use that feedback without restriction or compensation to you. Moogul may use feedback to improve, modify, market, or develop products and services.

20. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Violate law, regulation, sanctions, export controls, court orders, or third-party rights.
  • Provide false, misleading, fraudulent, unauthorized, or illegal information.
  • Connect accounts, upload documents, or submit information you are not authorized to use.
  • Impersonate another person or misrepresent your identity or authority.
  • Interfere with, disrupt, overload, damage, or impair the Services.
  • Attempt to access accounts, systems, data, APIs, models, infrastructure, or non-public areas without authorization.
  • Probe, scan, test, bypass, or defeat security, authentication, rate limits, or access controls.
  • Use bots, scrapers, crawlers, macros, offline readers, or other automated methods without Moogul’s prior written permission.
  • Reverse engineer, decompile, disassemble, extract, exfiltrate, or attempt to discover source code, algorithms, model weights, model parameters, prompts, training data, or system architecture.
  • Use the Services, outputs, or content to build, train, test, benchmark, or improve a competing product, service, model, dataset, or technology.
  • Upload malware, harmful code, spam, phishing content, or deceptive content.
  • Harass, threaten, abuse, defame, exploit, or harm Moogul personnel, users, or others.
  • Use the Services to make regulated decisions about credit, insurance, employment, housing, government benefits, lending, or eligibility unless Moogul has expressly released a feature for that legally compliant purpose.
  • Resell, sublicense, rent, lease, or commercially exploit the Services.

We may investigate suspected violations and take any lawful action we consider appropriate, including limiting, suspending, or terminating access.

21. Third-Party Services

The Services may depend on or link to third-party services, including financial institutions, Plaid, OpenAI, email providers, cloud providers, payment processors, app stores, analytics or monitoring providers if added, support tools if added, exchange-rate sources, websites, and other vendors.

Third-party services are not controlled by Moogul and may be subject to their own terms, privacy policies, fees, availability, security practices, and data practices.

Moogul is not responsible for third-party services, third-party content, third-party terms, third-party decisions, or actions you take through third-party services.

22. App Stores

If you download the Services from the Apple App Store, Google Play, or another app store, your use may also be governed by that app store’s terms.

The app store provider is not responsible for providing maintenance or support for the Services, except as required by applicable law. If these Terms conflict with the app store terms, the app store terms may control solely to the extent required for your use of the app obtained through that store.

For Apple users, Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.

23. Changes, Availability, And Beta Features

We may add, change, suspend, discontinue, limit, rename, replace, or remove any part of the Services at any time.

The Services may be unavailable, delayed, interrupted, inaccurate, or degraded because of maintenance, updates, outages, third-party failures, security events, internet issues, device issues, or other reasons.

Moogul may offer beta, preview, experimental, early-access, or pre-release features. These features may be unstable, incomplete, inaccurate, changed, or removed at any time. You use them at your own risk.

24. Account Deletion And Termination

You may request account deletion or close your account through the Services if the feature is available, or by contacting us.

If your account is deleted or terminated, you may lose access to your account, paid features, connected accounts, goals, budgets, documents, imports, AI conversations, settings, and other content.

Moogul may retain information after deletion, cancellation, or termination as described in the Privacy Policy, including records needed for security, legal, compliance, billing, dispute-resolution, fraud-prevention, backup, audit, and product-integrity purposes.

We may suspend, restrict, or terminate your account or access to the Services at any time if we believe:

  • You violated these Terms.
  • Your use creates security, legal, financial, operational, reputational, or other risk.
  • Your account is inactive, compromised, fraudulent, or unauthorized.
  • We are required or permitted to do so by law, court order, regulator, app store, financial institution, provider, or payment processor.
  • Continuing to provide the Services is no longer commercially or technically reasonable.

Sections that by their nature should survive termination will survive, including ownership, licenses, payment obligations, disclaimers, limitation of liability, indemnity, dispute resolution, and general legal terms.

25. No Professional Advice Or Regulated Financial Service

Moogul provides informational and organizational tools only.

Moogul is not a financial institution, bank, broker-dealer, registered investment adviser, financial planner, tax adviser, accountant, attorney, insurance producer, lender, credit repair organization, debt adjuster, debt settlement company, loan servicer, consumer reporting agency, furnisher of consumer-reporting information, money transmitter, or fiduciary.

The Services are not consumer reports under the Fair Credit Reporting Act and may not be used to determine eligibility for credit, insurance, employment, housing, government benefits, lending, account opening, or any other purpose governed by the FCRA or similar laws.

Nothing in the Services is an offer, solicitation, recommendation, endorsement, or advice to buy, sell, hold, borrow, lend, invest, insure, file taxes, change residency, immigrate, or take any specific financial, legal, tax, accounting, investment, insurance, or professional action.

26. Warranty Disclaimer

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

Moogul disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, security, completeness, timeliness, and error-free operation.

Moogul does not warrant that the Services, financial data, account connections, AI outputs, forecasts, classifications, document extraction, notifications, exports, or third-party services will be accurate, complete, current, secure, uninterrupted, or suitable for your needs.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

27. Limitation Of Liability

To the fullest extent permitted by law, Moogul and its affiliates, officers, directors, employees, contractors, agents, licensors, vendors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost savings; lost data; loss of goodwill; business interruption; account fees; overdrafts; missed payments; investment losses; tax penalties; exchange-rate losses; or damages arising from unavailable, delayed, inaccurate, incomplete, or corrupted information.

To the fullest extent permitted by law, Moogul’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

  • The amount you paid Moogul for the Services in the 12 months before the event giving rise to the claim.
  • $100.

These limits apply regardless of the legal theory and even if Moogul has been advised of the possibility of damages.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

28. Dispute Resolution, Arbitration, And Class-Action Waiver

Please contact [email protected] before filing a claim so we can try to resolve the issue informally.

Except for claims that qualify for small-claims court, requests for injunctive or equitable relief, intellectual-property claims, or claims that cannot be arbitrated as a matter of law, you and Moogul agree to resolve disputes arising out of or relating to the Services or these Terms through binding individual arbitration.

The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, unless the parties agree otherwise or applicable law requires another forum. The arbitration will take place in Allegheny County, Pennsylvania, by telephone, by video conference, or based on written submissions, as the arbitrator determines consistent with applicable rules.

You and Moogul waive the right to a jury trial and the right to participate in a class action, class arbitration, private attorney general action, or representative proceeding, to the fullest extent permitted by law. The arbitrator may award relief only on an individual basis.

You may opt out of arbitration by emailing [email protected] within 30 days after you first accept these Terms. Your opt-out notice must include your name, the email address associated with your Moogul account, and a statement that you opt out of the arbitration agreement in the Moogul Terms of Service.

If this arbitration section is found unenforceable in whole or in part, disputes will be resolved in the courts described in Section 29 unless applicable law requires otherwise.

29. Governing Law And Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, excluding its conflict-of-law rules, unless applicable law requires otherwise.

For disputes not subject to arbitration, you and Moogul consent to the exclusive jurisdiction and venue of the state and federal courts located in Allegheny County, Pennsylvania, unless applicable law requires otherwise.

30. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Moogul and its affiliates, officers, directors, employees, contractors, agents, licensors, vendors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of law or third-party rights.
  • Your Content.
  • Information, accounts, documents, or data you provide or authorize us to access.
  • Actions taken through your account.
  • Your decisions or actions based on the Services.

Moogul may control the defense and settlement of any claim subject to indemnification. You agree to cooperate with us in defending those claims.

31. Copyright And Intellectual Property Complaints

If you believe content in the Services infringes your copyright or other intellectual property rights, contact [email protected] with:

  • Your name and contact information.
  • A description of the work or right you claim has been infringed.
  • A description of where the allegedly infringing content appears.
  • A statement that you have a good-faith belief that the disputed use is not authorized.
  • A statement that the information you provide is accurate.
  • Your physical or electronic signature.

We may remove content or terminate accounts when appropriate.

32. Export Controls And Sanctions

You must comply with all applicable export-control, sanctions, and trade laws. You may not use the Services if you are located in, ordinarily resident in, or organized under the laws of a restricted jurisdiction, or if you are on a sanctions or restricted-party list that prohibits your use of the Services.

33. Assignment

You may not assign or transfer these Terms, your account, or your rights or obligations without Moogul’s prior written consent.

Moogul may assign or transfer these Terms, including in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.

34. Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will remain in effect.

35. No Waiver

Moogul’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

36. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms that expressly apply to a feature or purchase, are the entire agreement between you and Moogul regarding the Services and replace any prior or contemporaneous agreements about the Services.
